Terms of access and use of the SOBRII application.

These Terms of Use (hereinafter the "Terms") define the conditions of access and use of the SOBRII application (hereinafter the "Application"), accessible via web browser at the address provided by SOBRII upon subscription. The Terms apply to all Users of the Application. Access and use of the Application imply unreserved acceptance of these Terms.
The Application is published by: SOBRII, a simplified joint-stock company (SAS) with a share capital of €8,000, registered with the Montpellier Trade and Companies Register under number 978 484 384, headquartered at 8 rue de la Bandido, 34070 Montpellier, France. "Application": the SOBRII software platform provided as SaaS, accessible via web browser, including the dashboard, APIs and functional modules subscribed by the Client. "Agent": the telemetry data collection software developed by SOBRII, installed on the Client's workstations. "Client": the legal entity that has subscribed to a SaaS License Agreement with SOBRII. "User": any individual with access to the Application, authorized by the Client. "Administrator": a User with extended management rights on the Application. "Authentication Credentials": the identifiers (email, password) and authentication methods (SSO) enabling access to the Application. "Agreement": the SaaS License Agreement concluded between SOBRII and the Client.
4.1. Access conditions Access to the Application is reserved for Users authorized by the Client under an active Agreement. Each User has a personal account with their own Authentication Credentials. 4.2. Account creation User accounts are created by the Administrator designated by the Client. Each User receives personal, non-transferable Authentication Credentials. 4.3. Authentication The Application supports the following authentication methods: • Email and password authentication (hashed via BCrypt) • Single sign-on (SSO) via Azure AD, Google Workspace, Okta, SAML 2.0 or OIDC The User is responsible for the confidentiality of their Authentication Credentials.
5.1. Usage rules The User agrees to: • Use the Application in accordance with its intended purpose and the Documentation provided by SOBRII • Not attempt to circumvent security measures or technical limitations of the Application • Not use the Application for unlawful purposes • Not introduce malicious content into the Application • Immediately report any suspected unauthorized access • Not share, lend or transfer their Authentication Credentials to any third party 5.2. Restrictions The User is prohibited from: • Copying, modifying, adapting, translating or reverse-engineering the Application • Extracting or reusing a substantial portion of the database content • Performing comparative benchmarking without prior written consent from SOBRII • Using the Application to develop a competing product or service • Automating access to the Application (scraping, bots) without authorization 5.3. Access levels The Application features a granular permission system (80+ permissions). Each User's rights are defined by the Client's Administrator.
6.1. Availability commitment SOBRII endeavors to ensure Application availability 24/7, subject to maintenance periods. Availability commitments are defined in the SaaS License Agreement (Annex 3 — SLA). 6.2. Maintenance Scheduled maintenance may cause temporary interruptions. These are performed between 11:00 PM and 5:00 AM (Paris time) with at least 48 hours prior notice. 6.3. Interruptions SOBRII shall not be held liable for interruptions resulting from force majeure, the User's internet connection failure, security-related suspension, or scheduled maintenance.
The Application, its source code, architecture, interfaces, databases, Documentation and all components are and remain the exclusive property of SOBRII. Access to the Application grants the User no intellectual property rights. The User has only a personal, non-exclusive, non-transferable right of use. The SOBRII trademark (registered with INPI under No. FR4995465, classes 09, 38, 41, 42) is the exclusive property of SOBRII.
8.1. Data collected In connection with Application use, SOBRII processes: • Identification data: name, professional email address • Connection data: access logs, IP address, timestamps • Usage data: actions performed in the Application 8.2. Purposes This data is processed for access provision and management, security, technical support and Application improvement. 8.3. 9.1. Security measures The Application is protected by state-of-the-art measures: encryption of all communications (TLS 1.2+), strong authentication (BCrypt, SSO, short-lived tokens), granular access control with immutable logging, secure hosting on Microsoft Azure, France Central region (EU). 9.2. User obligations The User is responsible for the security of their workstation and Authentication Credentials. They agree to use a strong password, not store credentials on shared devices, lock their session when leaving, and immediately inform their Administrator of any compromise. 9.3. Access suspension SOBRII reserves the right to immediately suspend a User's access in case of suspected security breach or violation of these Terms.
10.1. SOBRII's liability SOBRII commits to providing the Application diligently and according to industry standards. SOBRII shall not be liable for non-compliant use, damages resulting from User negligence, or decisions made based on Application information. 10.2. User's liability The User is responsible for their use of the Application. In case of non-compliance with these Terms, SOBRII reserves the right to suspend or terminate access.
These Terms complement the SaaS License Agreement between SOBRII and the Client. In case of conflict, the Agreement prevails. Access to the Application requires an active Agreement. Termination or expiration of the Agreement automatically terminates access for all Client Users.
SOBRII reserves the right to modify these Terms at any time. Users will be informed of substantial changes by notification in the Application or by email, at least fifteen (15) days before the new Terms take effect. Continued use of the Application after the new Terms take effect constitutes acceptance.
These Terms are governed by French law. In the event of a dispute relating to the interpretation or execution of these Terms, and failing amicable resolution, the Paris Commercial Court shall have sole jurisdiction.
